Team Profiles
Mr. Sha has been involved in investments and fund management for nearly 20 years. He had sat on the board of several listed companies in Singapore and London. He is currently the Chairman of the Board of Directors at Asia Power Corporation Ltd (listed in Singapore), a company specialising in investments in power plants.

He had been involved in numerous restructuring deals and start ups, including raising of seed capital and listing of various pre-IPO companies in China, Hong Kong, USA, Canada and Singapore.

Mr. Sha's forte is in investments, especially in the arena of power plants and water treatment plants. In [1996], he was involved in the IPO of Heilongjiang Longdian Power Plants Co., Ltd,. In 1999, he took the first China company, Asia Power Corporation Ltd, to flotation on the Singapore bourse. Subsequently, in 2003 and 2005, he successfully listed Devotion Energy Group Ltd and Asia Water Technology Limited on the Singapore Exchange.

In the course of his earlier investments and consultation work, he was appointed by various companies to oversee their operations, namely as General Manager with Hainan Aisino Investment Co., Ltd, General Manager with Heilongjiang Longdian Investment Co., Ltd, deputy General Manager and subsequently General Manager of Shenzhen Tianhe Taifu Investment Co., Ltd and Chief Executive Officer of Hainan Bingang Real Estate Investment Co., Ltd.

He holds degrees in Economics and in Literature.
Mr. Tay is a Certified Public Accountant ("CPA") and a member of the Institute of Public Accountants of Singapore ("ICPAS"). Having started his 12 years of professional career with Arthur Andersen, both in Singapore and Sydney, Australia, he then moved on to Ernst & Young and Deloitte & Touche.

Since 1999, Mr. Tay had led and completed several due-diligence, pre-audit and reverse takeovers of listed companies. He was involved in and headed several large scale audits, due diligence engagements, business consultancy, corporatisation and Initial Public Offerings involving large corporations in Singapore, Australia, China, USA, Canada, and including countries in Europe.

Currently, he is the CEO of Rockstead Capital Group, a boutique fund management company he co-founded that specializes in fund management, listing consultancy and pre-IPO investment. Mr. Tay had worked on several fund raising exercises, including originating, structuring, executing and sourcing for equity, equity instruments in the likes of warrants and convertibles, and loans for listing aspirants and listed entities in several regions. In particular, in the last 3 years, he had raised in excess of US$100m for environmental companies in China, particularly in the water treatment arena.

Being highly conversant with International Accounting Standards and China GAAP, Mr. Tay has extensive experience dealing with investment and restructuring of Chinese companies. He had also initiated and worked on numerous listing exercises, involving the TSX and TSX Venture in Canada, OTC & NASDAQ Listings in USA and other prominent exchanges in Asia, Europe and Australia. He had led and originated OTC listings of a Chinese oil exploration company and an infotainment company, supervised and involved in no less than 10 companies listed in Singapore, and had completed a RTO of a Chinese company into a Singapore shell. In addition, he was involved in the listing process of the first Chinese company on Germany bourses.

Mr. Tay was a speaker at numerous events, including NTU "High Flying CFOs in Town" forum, CCH's "CFO roles in today's economy" event, and various Business Times and news bulletins.

In October 2007, Mr. Tay was awarded Nanyang Outstanding Young Alumni Award by Nanyang Technological University (NTU) to honour outstanding alumni who have distinguished themselves in their profession and who made significant contributions to the alumni network. Mr Tay graduated from the Nanyang Technological University with a Degree in Accountancy (Hons).
Mr. Ng Fook Ai Victor is the Chairman of the Fund. He is currently the founder and Executive Chairman of New Asia Assets Pte. Ltd, an investment company headquartered in Asia focusing on investments in Greater China.

Mr. Ng has been investing in Asia for nearly 30 years, and in China since 1996. While being equipped with a wealth of experience spanning across a range of industry sectors, in particular the energy, water and clean technology fields, he also founded and managed a number of China focused funds, including China Growth Opportunities Limited, a UK listed fund that focuses on private equity investments in China.

He was also a Principal/Director at KPMG Peat Marwick Management before he ventured into the securities industry where he was General Manager (Sales) at JM Sassoon Co. Pte Ltd.

Mr. Ng has held several directorships in listed companies, and among these, he is an independent director of Asia Power Corporation Limited, a company listed on the main board of the Singapore Exchange.

In 1992, Mr. Ng was awarded the Pingat Bakti Masyarakat (Public Service Medal, Singapore - Community Services) for his social contribution to Singapore by the President of the Republic of Singapore. In 2004, Mr. Ng was invited to serve on the Board of Trustees of Majulah Connection (a non-governmental organisation).

Mr. Ng holds a Certificate-in-Education (Spore), B.Sc (Econs)(Hons) and M.Sc (Econs) from London University. He was also awarded the University of London (Convocation Book Prize)(First) and the Lord Hailsham Scholarship.
Mr. Lim was an Associate Director at Citibank Singapore in its International Personal Bank Division, a personal wealth management business group that targets high networth individuals. His role at Citibank was to attract and source for new high networth clients to start a banking relationship. In terms of geographical responsibilities, Mr. Lim was hired as an Associate Director to cover the China and Taiwan markets for the Bank where one of his main mandates was to attract new clients to the Bank especially those that had migration aspirations to Singapore. The two main Singapore permanent residence ("PR") schemes that he focused on were the Financial Investors Scheme (managed by the Monetary Authority of Singapore) and the Global Investor Program (administered by Contact Singapore). As Mr. Lim was personally involved in handling and processing applications for many of the PR applicants, he is extremely conversant with both migration schemes above.

Prior to joining Citibank, Mr. Lim spent 2 years as a Sales Executive in Sumitomo Corporation (Singapore) in the steel trading department where he focused on steel product sales to regional oil and gas majors.

Subsequently, Mr. Lim left to join CJP International Singapore ("CJP") where he spent more than 6 years as a Marketing Manager in charge of proprietary trading of physical petrochemical products for the China market. At CJP, Mr. Lim spearheaded the firm's sales and marketing functions For Guangdong, Fujian, Zhejiang, Jiangsu and Shandong provinces. In addition, he managed supplier relationships with primarily Middle Eastern petrochemical producers. Mr. Lim also led a five man sales team that were based in his firm's China and Vietnam offices.

Mr. Lim holds a Bachelor of Arts - Economics and Political Science major, from the National University of Singapore.
Upon graduation from Nanyang Technological University with a Degree in Accountancy (Hons) in 1998, Ms. Soh started her career as an auditor in Arthur Andersen. During her stint in Arthur Andersen, Ms. Soh was involved in the audit of both public listed as well as private companies in the various industries.

In 2004, Ms. Soh joined the Internal Audit unit of the Economic Development Board (EDB) of Singapore. As an Assistant Director, she participated and led various audit projects focusing on the review of internal controls, operations and processes of key functional divisions within the organization.

As part of her career progression in EDB, in 2007 Ms. Soh was rotated to Contact Singapore which was set up as an alliance between EDB and the Ministry of Manpower to attract foreign Entrepreneurs and High Networth Individuals to pursue both their personal as well as business interests in Singapore. In Contact Singapore, Ms. Soh was part of the pioneering team to spearhead and put in place the infrastructure, systems and processes for the administration of the Global Investor Program (GIP), an investment-related migration scheme. As Head of Contact Singapore, Ms. Soh led a team of 10-15 staff and given that she oversees the GIP policies review, day-to-day operations and processes, Ms. Soh was very much attuned to the GIP scheme. She was also the key person to account manage the GIP-approved funds who are the primary partner of Contact Singapore for the attraction of GIP applications. In addition, Ms. Soh also led the market development teams for the various geographical regions including Taiwan, Europe, USA, Middle East and India.
Terence started his career in August 1999 as an Auditor with KPMG Singapore. In June 2001, he joined Ernst & Young's Corporate Finance Division in Singapore as a Senior Associate where he worked on numerous corporate work-outs such as Receiverships, Judicial Management and distressed debt advisory mandates Mr. Tan was also involved in various sell-side financial due diligence and financial valuation projects.

Terence then joined DBS Bank's high-yield debt capital markets team in 2004 where he handled some of the desk's highest profile deals and primarily focused on vanilla bonds and convertible bonds. His coverage spanned both listed and pre-IPO companies across various industries and countries. During his tenure at DBS Bank, he was involved in more than S$1 billion of deals.

In 2007, Mr. Tan left DBS Bank as an Assistant Vice President after he was invited to join a leading Asian private equity fund based in Singapore that managed more than US$200 million in assets. Eurekahedge and AsianInvestor Magazine awarded the Best Asian Event Driven Fund the Fund in 2007. Mr. Tan was in charge of the Fund's Indonesian and China investments.

Mr. Tan was also responsible for the entire spectrum of the investment process ranging from deal sourcing and structuring, financial modeling, portfolio valuation and sourcing for exit strategies.

Mr Tan graduated from the University of Queensland (Australia) with a Bachelor of Commerce degree (Accounting and Finance) and is an Associate Member of the Institute of Certified Public Accountants of Singapore.
